1. Who we are

These Terms of Service (“Terms”) govern your access to and use of websites, software-as-a-service products, downloadable software, and professional services (collectively, the “Services”) provided by Saaniya Software LLC (“Company,” “we,” “us,” or “our”), a Wisconsin limited liability company. Product brands include GuruVidyaZen, GuruVidyaZen School SISLMS, SISMMS, GuruVidyaZen Riyaz Studio, Saarthee CoPlanner, Saarthee Fleet Manager, Saaniya EMR, and other portfolio products on nasneeraj.com.

These Terms are a contract with the Company, not with any individual member, officer, or developer personally.

2. Acceptance

By accessing or using the Services, you agree to be bound by these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization.

3. Eligibility and minors

You must be at least 18 (or the age of majority in your jurisdiction) to create an account, unless you use an education product solely through a school or academy Customer that has agreed to a data processing arrangement. We do not knowingly allow direct-to-child account creation outside a school contract. Report suspected underage direct accounts to saaniyasoftware@nasneeraj.com.

4. Accounts

You are responsible for maintaining the confidentiality of account credentials and for all activities under your account. Notify us promptly of unauthorized use. Do not share tenant-admin access in a way that bypasses billed seats or security controls.

5. Subscription, fees, and refunds

Paid Services are billed as disclosed at signup or in an invoice/SOW, in U.S. dollars unless stated otherwise. Fees may be processed by third-party processors (for example Stripe or Razorpay). Except where required by law or expressly stated in a written refund policy, fees are non-refundable. Applicable cancellation, refund, and proration rules at the time of purchase are part of these Terms. Taxes (including VAT/GST where required) are extra unless stated.

6. Acceptable use

You agree not to:

• use the Services to violate any law, regulation, or third-party right;
• reverse engineer or attempt to extract source code except as permitted by law;
• upload malicious code, bypass security controls, or interfere with Service integrity;
• probe or access other tenants’ data;
• use the Services to generate or disseminate illegal content, spam, or infringing material;
• upload protected health information (PHI) or regulated medical/financial document sets unless a separate written compliance program exists (none today);
• use the Services for medical, legal, financial, or other regulated decisions without independent professional review.

Regulated-work decline: We do not accept HIPAA / PHI or regulated medical-financial processing without a separate written compliance program.

7. Your content

You retain rights in content you submit (“User Content”). You grant the Company a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derivative works of User Content solely to provide and improve the Services. You represent that you have all rights necessary to grant this license. Customer data remains Customer’s property; school education records remain subject to the school’s policies and applicable law.

8. AI features

Certain Services use artificial intelligence or machine-learning models, including third-party models. AI outputs may be inaccurate, incomplete, or inappropriate. You must review AI outputs before relying on them. We do not warrant that AI outputs are fit for any particular purpose. AI outputs are not medical, legal, financial, or professional advice. See our Disclaimer.

Subject to model-provider terms and applicable law, we assign to you our rights (if any) in AI-generated output produced from your inputs, excluding pre-existing Company tools, prompts, or libraries. We do not use Customer Content to train public foundation models unless a written order says so.

9. Education products — FERPA / COPPA

Where Services are provided to K–12 schools or other education institutions, we may receive student personally identifiable information. In that role we act as a processor / “school official” with a “legitimate educational interest” under FERPA only to the extent set forth in a separate written Data Processing Addendum or School Service Agreement. Product-specific details: Education Privacy Addendum. We do not knowingly collect personal information directly from children under 13 outside an institutional context that authorizes such collection.

10. Intellectual property

Except for User Content and third-party components licensed separately, all rights in the Services—including software, designs, and marks—are owned by Saaniya Software LLC or its licensors. Product and brand names listed above are trade names and/or unregistered service marks of the Company.

11. Beta / pilot features

Beta, pilot, or preview features are provided “as is” and may change or be withdrawn without notice.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES. OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You will indemnify and hold harmless the Company and its officers, employees, and agents from any third-party claim arising out of (a) your breach of these Terms, (b) your User Content, or (c) your violation of any law or third-party right.

15. Suspension and termination

We may suspend or terminate access for breach of these Terms or for security or operational reasons. Sections addressing IP, disclaimers, liability, indemnity, and governing law survive termination.

16. Export and sanctions

You may not use the Services if you are prohibited under U.S. export control or sanctions laws.

17. Governing law and disputes

These Terms are governed by the laws of the State of Wisconsin, excluding conflict-of-laws rules, without waiving any non-waivable consumer-protection rights of your place of residence. Subject to those rights, disputes will be resolved in the state or federal courts located in Wisconsin, and you consent to personal jurisdiction there. Counsel may later add arbitration or class-action terms.

18. Changes

We may update these Terms from time to time. Material changes will be posted on this page with an updated “Last updated” date. Continued use after the effective date constitutes acceptance of the revised Terms.
